All products and services provided by BlackStone Studio are subject to the Terms of Service outlined here.

Core Services

Logo Design Projects

Logo design projects involve creating a unique visual identity for your brand, business, or product, which may include a mark or icon paired with text in a distinctive font and color palette.

Ownership of the final approved logo design will transfer to you upon receipt and clearance of the final payment. This may include a set number of alternate layout and color variations. Any preliminary proofs, concepts, or visuals presented during the design process remain the property of BlackStone Studio.

After receiving the final payment, you will be provided a link to download the final logo files in the agreed-upon formats, along with the specified deliverables. Fonts used in the logo design will be converted to both vector and raster artwork in the final files to ensure compatibility and scalability. The font files themselves will not be included in your deliverables. It is your responsibility to ensure your logo files are safely backed up for future use, as I may not always keep a copy.

If you fail to make the final payment, the logo design and files will remain the property of BlackStone Studio, and I may reuse them in future projects for other clients or purposes, excluding elements specific to your business or brand.

Graphic Design Projects

Graphic design projects include, but are not limited to, digital and printed materials such as cards, flyers, advertisements, postcards, brochures, booklets, signs, social media graphics, website banners, and other marketing collateral.

You will receive an exclusive, perpetual license to use the final approved design as a whole upon receipt and clearance of the final payment. BlackStone Studio retains ownership of the unique combination of elements that constitute the complete design and grants you exclusive usage rights to the design as a whole. Any preliminary proofs, concepts, or visuals presented during the design process remain the property of BlackStone Studio.

Some graphic design projects may include third-party artwork, such as stock images, licensed graphics, or AI-generated elements. While these elements are licensed for use within the overall design, they remain the property of their original creators and cannot be extracted from the final design or used for any other purposes. This restriction does not apply to custom artwork created specifically for you or to the artwork you provided for the project.

After receiving the final payment, you will be emailed the final design in the agreed-upon format. Final design files are typically delivered as high-resolution, flat (rasterized) PDF or JPG. Depending on what your project contains, I may deliver files in which some elements, such as text or vector graphics, remain editable while other elements, such as stock or licensed graphics, are flattened. It is your responsibility to ensure these files are safely backed up for future use, as I may not always keep a copy.

If you fail to make the final payment, I reserve the right to retain ownership of the design and may reuse it in future projects for other clients or purposes, excluding elements specific to your business or brand.

Canva Template Projects

Template projects involve creating an editable design in Canva for you to reuse and customize as needed.

After receiving the final payment, you will receive a Canva Template Link that adds a copy to your own account. A Canva Pro account is generally required to access and use your template and any subscription costs are your responsibility.

Canva services are subject to Canva’s own terms, pricing, and features. I am not responsible for changes to the platform or for any loss of access related to your Canva subscription. Once your template link has been delivered, you are responsible for maintaining your copy, as I may not always keep a copy or keep the template link active indefinitely.

Design Components

Font Usage

I use fonts that are either licensed to BlackStone Studio or free for commercial use. Fonts used in your logo or design project cannot be copyrighted, even if modified from their original version. To ensure compatibility, the text in the files you receive will be converted to vector or raster format. This does not apply to Canva projects, where fonts remain within the platform.

If you need the font files used in your project, it is your responsibility to purchase or acquire the necessary licenses. Due to licensing rules, I cannot transfer or distribute font files directly to you. However, I can provide the names of the fonts used and links to where you can purchase or download them.

Color Specifications

Projects are designed in CMYK and RGB color modes. However, color variations may occur due to differences in screens, printers, materials, and production processes, and these cannot be completely controlled.

I provide Pantone color suggestions in the style guide included with logo projects. These suggestions are for guidance only, and clients are encouraged to confirm they meet their expectations. I am not responsible for any color output or variation issues during production or reproduction.

Preliminary Proofs

Preliminary proofs refer to initial logo design or graphic design concepts, preparation materials, sketches, drafts, and other visuals presented during the design process but not included in the final approved design.

Any preliminary proofs, concepts, or visuals presented during the design process, not included in the final approved design, remain the property of BlackStone Studio. These materials may be reused, modified, or repurposed for future projects or other clients, excluding elements specific to your business or brand.

Source Files

Source files refer to the original working files used to create your project, such as Adobe programs (Photoshop, Illustrator, or InDesign) or other design software. These are different from the final files you receive and are not included in the standard deliverables. Canva template projects are not source files and are covered under the Canva Template Projects section.

I will not release source files for any design unless otherwise agreed upon before the project begins, as it will impact the cost of the project. If I do agree to release source files, it will only apply to projects where no stock images, licensed graphics, or AI-generated elements were used, or where the client has provided all such materials. Additionally, any released source files will not include secondary working files, such as those used to create or edit images placed within the main source files, unless otherwise agreed upon. Fonts used in the project cannot be included or distributed, and I will not provide tutorials on how to use the source files.

Non-Branding Stock or AI-Generated Graphics

Non-branding graphics refers to generic design elements that are not unique to your business and can include, but are not limited to, images, photos, vector artwork, icons, textures, patterns, and effects.

Creating entirely original artwork can be time-intensive and costly. To offer quick turnarounds and affordable prices, I may use licensed non-branding stock graphics, AI-generated elements, or platform-provided elements such as those available within Canva in your design projects. These components are licensed to or created by BlackStone Studio and may also be used in other client projects or by other users who have access to the same resources or tools. You may not extract or use these elements outside of the complete design created for you by BlackStone Studio.

If you prefer not to use third-party licensed elements or AI-generated content in your design, you must inform me before the project begins, as this will impact the cost and turnaround time of the project.

Designs created by BlackStone Studio, especially those using stock graphics or AI-generated elements, are not intended for merchandising or resale. If you plan to use the final design for these purposes, you must inform me before the project begins, as I may not be able to accommodate your request. Failure to do so may lead to legal issues for which you will be fully responsible, including any related expenses or claims.

If you provide stock graphics or photos that you have purchased and licensed independently, you are responsible for ensuring compliance with their licensing terms and restrictions.

Ownership & Usage Responsibilities

Trademark & Copyright Responsibility

BlackStone Studio does not provide trademark, copyright, or legal name search services. If you wish to protect your logo, branding materials, or graphic designs with a trademark or copyright, you must consult a legal professional.

It is your responsibility to ensure that your brand, business, or product name is legally available before the design process begins. BlackStone Studio assumes no legal responsibility for conflicts with existing trademarks, copyrights, or intellectual property. If a name or design change is required during the project, additional costs may apply based on the work completed up to that point.

I strive to create original artwork for all logo projects and custom artwork requests and will not knowingly copy, infringe, or plagiarize existing work. While I may conduct limited checks, such as online searches, to ensure originality, you are responsible for performing thorough checks and due diligence. By hiring BlackStone Studio, you agree to take full responsibility for any legal or copyright issues that may arise from the use of the designs I create.

For graphic design projects, you are granted an exclusive license to use the final design as outlined in this agreement. Copyright for individual elements, such as stock images, licensed graphics, AI-generated elements, or other third-party resources, remains with their original creators or licensors, and these may not be extracted, modified, or reused outside of the completed design. Because the legal status of AI-generated content is still developing, I do not warrant ownership, exclusivity, or copyright protection for any AI-generated elements used in your design.

For Canva projects, elements from Canva’s library used within the template cannot be claimed as your own or registered as a trademark, as they are available to all Canva users.

Transferring Ownership and Resale Restrictions

You may transfer the ownership of a logo design and its files or transfer the license of a graphic design project and its files to a single third party, such as in the case of selling your business. However, you may not resell or distribute any of the designs or files to multiple parties, such as by making them available as stock graphics, templates, or for other mass distribution purposes. You also cannot claim credit for the designs, even if you have modified them in any way.

You are free to use your logo design in any way to promote your business, including placing it on promotional items such as t-shirts, hats, or other merchandise to give away or sell. However, graphic design projects are intended for specific uses and may not be used, in whole or in part, on items such as t-shirts, hats, or other merchandise where the design itself is the primary value of the product rather than serving to promote a business. If your project is intended for such purposes, you must disclose this before we begin, as I might not be able to accommodate your request.

Workflow Policies

Client Content Responsibilities

Content refers to any materials provided for your project, including text, images, photos, graphics, audio or video files, fonts, or other documents.

While I may suggest edits, BlackStone Studio does not offer copywriting or photography services. You are responsible for providing all project content and guarantee that you either own it or have permission to use it. BlackStone Studio is not liable for copyright infringements resulting from the content you provide and does not guarantee indefinite retention of your submitted materials.

BlackStone Studio is not responsible for errors or omissions in any content or information that appears in the final design. Clients are strongly encouraged to carefully review and proofread all design elements before providing final approval.

You also guarantee that all information and products or services sold or promoted through your design project comply with applicable laws and are not illegal, restricted, or fraudulent. You are solely responsible for the accuracy and reliability of your project content and any harm resulting from it. BlackStone Studio does not endorse, support, or assume legal responsibility for the truthfulness or legality of your content.

Rounds of Revisions

Reasonable rounds of revisions are included throughout the design process. A “reasonable” number of rounds typically includes 1 to 2 rounds for significant changes and 1 to 2 rounds for minor tweaks or adjustments, totaling no more than 4 rounds. If, after 3-4 rounds, the project is not progressing toward completion or the scope changes, additional revisions will be considered unreasonable and may incur additional fees.

Approval Process

To avoid project delays, additional costs, or termination, I require a single representative with full authority to provide content, submit changes or feedback, and give approvals at various stages of the project. They will also be responsible for proofreading, ensuring all details are accurate before final files are released or sent to print, and submitting payments. The preferred method for providing approvals is via email.

Payment Policies

Proposals & Agreements

I may provide an estimate via email during early discussions, but I typically prepare a formal PDF proposal outlining the project details and pricing after receiving more information. All estimates and proposals are valid for 30 days from the date of issue. Additionally, this agreement must be reviewed, signed, and submitted before any work is scheduled or started.

For clients requesting ongoing work on a regular basis, I may not issue a proposal for every project, as pricing for repetitive services is typically understood. However, I can provide estimates upon request for new or non-standard services.

Payment Schedule

A 50% deposit is required before any project is scheduled or started. The remaining balance, plus any added costs for additional services requested during the project, will be required upon completion.

Projects are considered complete once I have fulfilled the agreed-upon scope of work. Even if you delay providing the necessary content to finalize project files, I may still deem the project complete, and final payment will be requested.

For clients requesting ongoing work on a regular basis, a monthly billing schedule will be implemented. All work completed during the month will be billed on the first business day of the following month, with payment due upon receipt of the invoice unless otherwise agreed upon in advance.

BlackStone Studio reserves the right to withhold design files, usage rights, or deliverables until full payment has been received and processed.

Payment Methods

You may pay by check or through Intuit QuickBooks, which supports EFT (electronic funds transfer) or credit card payments. Your financial information is collected and stored securely by QuickBooks and is not directly accessible to BlackStone Studio beyond your basic contact details. Its handling is governed by QuickBooks’ own policies, which you can review on their website.

If you save your payment information in QuickBooks, your saved method may be charged automatically when an invoice is issued. Managing or removing your saved payment details is your responsibility through QuickBooks.

For security and accounting purposes, I do not accept payments through apps such as Venmo, Cash App, Zelle, PayPal, or similar services.

Late Payment Fee

If payment is more than 30 days late, a 10% late fee will be added to your balance each month the account remains overdue.

Returned or Bounced Checks

A $25 fee will apply to any returned or bounced checks.

Refund Policy

The initial deposit is non-refundable. Refunds are granted solely at BlackStone Studio’s discretion. For fully paid projects terminated early, I may issue a partial refund based on work completed and time invested up to that point. However, project files or rights will not be released.

Project Schedule & Termination

Turnaround Time

A tentative timeline will be discussed before the project begins, though feedback time and the number of changes requested can affect it. On average, a project takes one to four weeks.

Postponing a Project

If you need to postpone the project, I may request an additional payment toward your balance. Delays beyond 30 days are subject to an extension fee, and projects postponed for more than 2 months may be terminated at my discretion.

Non-Communication

If I do not hear from you via email or phone for more than 10 business days during the project, it may be terminated at my discretion.

Terminating a Project

I reserve the right to terminate a project for any reason, including a breach of service terms, non-communication for more than 10 business days, postponements exceeding 2 months, or unforeseen circumstances such as illness or force majeure.

You may also choose to end a project at any time by notifying me in writing.

If a project is terminated, no refunds will be issued, and no project files or rights will be released. However, in the event of force majeure (e.g., acts of God, government actions, illness, or accidents) that may force either party to terminate the project, I may provide a partial refund based on the work completed and time invested up to that point.

Notices

AI Integration in Business Operations

BlackStone Studio incorporates AI tools in both design and administrative tasks. These tools may be used to ideate, refine visual elements, enhance or extend images, generate mockups or concepts, and create artwork used within a design. They may also assist with content, communications, brainstorming, planning, and research related to your project.

While I make reasonable efforts to avoid entering confidential client information into these tools, I may describe general project details to use them effectively. Many design and productivity programs also include AI features built in, so AI may be used automatically without direct input or awareness.

Please note that I cannot guarantee the handling practices of third-party AI platforms. If your project requires strict confidentiality over standard digital business tools, BlackStone Studio may not be the right fit.

Print File Preparation

BlackStone Studio does not offer printing services. I will prepare final print-ready files to your printer’s specifications, but you will be responsible for submitting them, overseeing the process, and handling any issues that may arise.

If a print project deviates from standard sizes or materials, or if its complexity requires extra attention, I may agree to help you coordinate the print run. This must be agreed upon before the project begins, as this will impact the cost of my services. However, I will not be responsible for any print issues or costs, including errors, delays, or quality concerns, as I would be acting as an intermediary between you and your print vendor.

Clients from the Same Industry

I work with many clients, including those in the same industry who may be competitors. All designs are personalized and tailored to each business to ensure distinctiveness. Any information shared with me that is marked confidential or trusted to me will be handled with the utmost care and will not be disclosed to other clients.

Right to Credit & Display Work

I reserve the right to display, link to, and write about your completed and approved project as part of my portfolio, including in case studies, blog posts, articles, social media, books, and other online or offline publications, for purposes of creative recognition, professional advancement, or advertising. I may also submit the work to contests or competitions.

Liability

Products and Services

All products and services provided by BlackStone Studio, including any licensed third-party materials incorporated into a project, are offered ‘as is’ without any warranty that they will be uninterrupted, timely, secure, or error-free. BlackStone Studio is not liable for any loss or damages, whether direct, indirect, incidental, or consequential, arising from the use of its products, services, or materials. This includes amendments, errors, or omissions in designs, documents, or information provided, as well as any misuse or improper application of licensed materials. The use of all materials and services provided by BlackStone Studio is entirely at your own risk, and I cannot guarantee specific results or outcomes. It is also your responsibility to ensure compliance with any licensing terms associated with third-party materials used in your project.

Regardless of the cause, my total liability for any claim related to a project or this agreement will not exceed the total amount you paid for that project.

Governing Law

This agreement is governed by the laws of the State of Texas, without regard to its conflict of law rules. Any disputes arising from this agreement will be handled in the courts located in Bexar County, Texas.

Independent Contractor

I am an independent contractor, not an employee or partner of the client. I retain full control over my design process, tools, and methods, and ownership of all work is governed by the terms of this agreement.

Severability

If any part of these terms is found to be unlawful, void, or unenforceable, that provision will be considered severable and will not affect the validity or enforceability of the remaining terms.

BlackStone Studio reserves the right to update or modify these terms at any time, without prior notice. Continued use of BlackStone Studio’s services after any update constitutes acceptance of the current terms. When hiring BlackStone Studio, clients will receive a client agreement in PDF format outlining the most current terms. That agreement must be reviewed, signed, and submitted before any work is scheduled or started.
